*Key Responsibilities*


* Advise business clients on *complex corporate transactions*, including mergers, acquisitions, venture capital, and private equity investments.
* Provide *strategic counsel* on corporate governance, entity structuring, formation, and general business operations.
* Partner with *start-ups and emerging companies* to support their growth strategies and legal needs.
* Draft, negotiate, and manage *key transactional agreements*.
* Collaborate with cross-functional legal teams to address intellectual property, tax, trademark, and succession planning.

*Qualifications*


* *Juris Doctor (JD)* degree from an accredited law school.
* *5 years* of experience in corporate law, including transactional work such as mergers & acquisitions and venture capital.
* Expertise in corporate governance, business structuring, and client advisory.
* Licensed to practice law in the relevant state (or eligible for admission by reciprocity).
* *Excellent communication and relationship-building skills* to effectively serve a diverse client base.
* Strong drafting, negotiation, and analytical capabilities.
